Comfort Care Registry – Affiliate Program Terms

  1. Definitions

Registry: Refers to Comfort Care Registry, the platform providing directory and community listings, including both the Service Provider directory and the B2B directory.

Affiliate: A member of the Registry (free or paid Service Provider member, or paid B2B member) who participates in the Affiliate Program by referring new members to the Registry.

Free Member Affiliate: An Affiliate who holds a free Service Provider Registry membership.

Paid Member Affiliate: An Affiliate who holds an active paid Service Provider or paid B2B Registry membership.

Service Provider: An independent caregiver, practitioner, or agency listed in the Registry’s Service Provider directory.

B2B Member: A business or organization listed in the Registry’s B2B directory. B2B memberships are paid only. B2B Members are eligible to participate in the Affiliate Program as Paid Member Affiliates.

Referral: A new Service Provider or B2B Member who registers for a Registry membership using an Affiliate’s unique referral link and who was not previously a registered member of the Registry in any capacity.

Commission: A recurring percentage-based payment made to an Affiliate for each active paid Referral membership attributable to that Affiliate, at the rate applicable to the Affiliate’s membership tier as published in the Affiliate Rate Schedule.

Affiliate Rate Schedule: The current commission rates and minimum payout threshold applicable to each Affiliate membership tier, published at https://comfortcaredirectory.com/affiliate-rates and in the Affiliate Dashboard, incorporated into these Terms by reference. The Registry may update the Affiliate Rate Schedule at any time with notice as described in Section 11.

Affiliate Dashboard: The portal through which Affiliates access their referral links, track referrals, monitor commission earnings, and view current payout thresholds and rates.

  1. Eligibility

To participate in the Affiliate Program, you must:

  1. Affiliate Program Structure

Approved Affiliates will receive a unique referral link to share with prospective Service Providers and B2B Members.

Eligible Referrals: Affiliates may refer both prospective Service Providers and prospective B2B Members. Commissions are earned on any new paid membership — Service Provider or B2B attributed to the Affiliate’s referral link. B2B Members who are approved Affiliates may likewise refer both Service Providers and other B2B Members.

Commission Rate: Affiliates earn a recurring commission on each active paid Referral membership, at the rate corresponding to their membership tier as published in the current Affiliate Rate Schedule at https://comfortcaredirectory.com/affiliate-rates. Free Member Affiliates and Paid Member Affiliates earn at different rates. The applicable rate is determined by the Affiliate’s membership tier at the time of each commission payment.

Commission Term: Commissions are recurring and will continue for the lifetime of the Referral’s paid membership, provided that both the Affiliate and the Referral maintain active memberships in good standing with the Registry. Commissions will cease if either the Affiliate’s or the Referral’s membership is cancelled, suspended, or terminated for any reason.

Eligible Memberships: Commissions are paid only on paid membership fees. Free memberships do not generate commissions.

Attribution: A Referral is attributed to the last Affiliate whose unique referral link was clicked by the prospective member prior to registration, within the applicable 60-day cookie window (last-click attribution). Only the last attributed Affiliate link will receive credit. Self-referrals are not permitted and will be disqualified.

  1. Single-Tier Program

The Affiliate Program is a single-tier referral program only. Affiliates earn commissions solely on paid memberships directly referred by them through their unique referral link. There are no downline commissions, multi-level commission structures, recruitment quotas, or earnings based on the activity of other Affiliates. Participation in the Affiliate Program does not create any expectation of income, and commission earnings are contingent solely on the Affiliate’s own referral activity. This program is not a multi-level marketing (MLM) scheme, network marketing arrangement, or business opportunity.

  1. Cookie Duration

The Affiliate Program uses a 60-day attribution window. If a prospective Service Provider or B2B Member clicks an Affiliate’s referral link and completes registration within 60 days, the Referral will be credited to that Affiliate under last-click attribution. Clicks after 60 days will not be attributed.

  1. Inactivity Policy — Free Member Affiliates The Registry may, at its sole administrative discretion, inactivate the affiliate status of a Free Member Affiliate who has not generated at least one new paid Referral within any consecutive 12-month period. This policy applies to Free Member Affiliates only and is not automatically enforced — inactivation is at the Registry’s discretion on a case-by-case basis.

Before inactivating a Free Member Affiliate for inactivity, the Registry will send a written notice to the Affiliate’s registered email address at least 30 days in advance. The Affiliate may avoid inactivation by generating at least one new paid Referral during the 30-day notice period.

Upon inactivation for inactivity: all accrued and unpaid commissions earned prior to the inactivation date will be paid out at the next regular payment cycle. No further commissions will accrue after the inactivation date.

A Free Member Affiliate who has been inactivated for inactivity may reapply to the Affiliate Program at any time, provided they hold a current Registry membership in good standing. Reapplication is subject to the standard approval process and is not guaranteed.

Upon reapproval following inactivity, prior referrals attributed to the Affiliate’s previous affiliate account are not automatically reconnected and will not resume generating commissions. The Registry may, at its sole discretion, reconnect prior referrals upon reapproval, but is under no obligation to do so. Newly generated referrals from the date of reapproval will be tracked normally.

  1. Commission Payments
  1. FTC Disclosure Requirements

Affiliates must clearly and conspicuously disclose their participation in the Affiliate Program in any content, post, communication, or platform where a referral link is shared. This includes but is not limited to websites, social media, email, and video content. Disclosure language must meet the standards set by the Federal Trade Commission (FTC) Endorsement Guides. Acceptable disclosure examples include: “I may earn a commission if you sign up through my link” or “Affiliate link — I earn a recurring commission on paid memberships.”

Failure to disclose the affiliate relationship is a material violation of these Terms and may result in immediate termination from the Affiliate Program.

  1. Prohibited Conduct

Affiliates may not engage in any of the following:

Violation of any prohibited conduct provision may result in immediate termination and forfeiture of all accrued and unpaid commissions, regardless of membership tier.

  1. Termination and Membership Changes

Termination for Cause: If the Registry terminates an Affiliate’s participation for cause — including but not limited to fraud, policy violations, prohibited conduct, or membership termination due to breach of the Registry’s Terms of Service — the termination is immediate and all accrued and unpaid commissions are forfeited. This applies to both Free Member Affiliates and Paid Member Affiliates, including B2B Member Affiliates.

Voluntary Withdrawal: If an Affiliate voluntarily withdraws from the Affiliate Program, or if their Registry membership is voluntarily terminated, all legitimately accrued and unpaid commissions will be paid out at the next regular payment cycle.

Membership Tier Change: If a Paid Member Affiliate downgrades to a free membership, their commission rate will adjust to the Free Member Affiliate rate as published in the current Affiliate Rate Schedule, effective at the next commission calculation period. Commissions already accrued at the paid rate will not be retroactively adjusted. B2B Members who cancel their paid membership will lose affiliate eligibility entirely, as B2B memberships are paid only.

Either party may terminate Affiliate Program participation at any time with written notice, subject to the payout provisions above.

  1. Modification of Program Terms

The Registry reserves the right to modify these Terms, the cookie duration, payment terms, the Affiliate Rate Schedule, or any other aspect of the Affiliate Program at any time. Notice of material changes will be provided through the Affiliate Dashboard or Registry website. Continued participation in the Affiliate Program following notice of changes constitutes acceptance of the updated Terms. Changes will not apply retroactively to commissions already earned.

  1. Relationship of the Parties

Participation in the Affiliate Program does not create an employment, partnership, agency, or joint venture relationship between the Affiliate and the Registry. Affiliates are independent parties and are solely responsible for their own taxes, including reporting and remitting any income earned through the Affiliate Program to the appropriate tax authorities. The Registry will issue applicable tax documentation as required by law.

  1. Limitation of Liability

The Registry’s liability to any Affiliate shall not exceed the total commissions paid to that Affiliate in the three months preceding any claim. The Registry is not responsible for indirect, incidental, or consequential damages arising from participation in or termination of the Affiliate Program.

  1. Indemnification

Affiliates agree to indemnify and hold harmless the Registry, its owners, and affiliates from any claims, damages, or liabilities arising from the Affiliate’s promotional activities, misrepresentations, or violations of these Terms or applicable law.

  1. Severability

If any provision of these Affiliate Program Terms is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.

  1. Governing Law

All disputes arising from these Affiliate Program Terms must be resolved first through mandatory mediation, conducted outside of court with a mutually agreed-upon neutral mediator located in Arizona. Mediation is the required and exclusive first step for resolving any disagreement, and no party may initiate litigation until mediation has been completed. The requesting party is responsible for the cost of mediation.

If mediation does not resolve the dispute, any legal action must be filed exclusively in the state or federal courts of Yavapai County, Arizona.

  1. Acceptance of Terms

By applying to and participating in the Affiliate Program, you acknowledge that you have read, understood, and agree to these Affiliate Program Terms in their entirety, including the Affiliate Rate Schedule incorporated by reference. Acceptance is confirmed through the application and enrollment process in the Affiliate Dashboard.

Effective Date: March 1, 2026. Publication of updated Terms on the Registry website constitutes notice of any changes, as described in Section 11.
